NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A purchase or payment will not increase your chances of winning. VOID WHERE PROHIBITED BY LAW. By participating in the Seeq Experiential LLC Online Sweepstakes (“Sweepstakes”), you agree to these Official Terms & Conditions (“Terms”).

1. Sponsor and Sweepstakes Description

Sponsor: The Sweepstakes is sponsored by Seeq Experiential LLC (“Sponsor”). This Sweepstakes is an online promotion in which eligible participants can enter for a chance to win a prize, as described below. The Sponsor is solely responsible for the administration of this Sweepstakes. This promotion is in no way sponsored, endorsed, or administered by Substack or any other platform.

2. Eligibility

This Sweepstakes is open only to legal residents of the United States (including D.C.) who are 18 years of age or older at the time of entry. Entries from outside the U.S. are not eligible. Void where prohibited or restricted by law.

The following individuals are NOT eligible to enter or win:

  • Employees, officers, and directors of the Sponsor, its parent company, subsidiaries, affiliates, advertising and promotion agencies, and any other parties involved in the administration of the Sweepstakes.

  • Immediate family members (spouse, parents, siblings, and children) and persons living in the same household of such individuals, whether related or not.

Participation constitutes each entrant’s full and unconditional agreement to these Terms and to the Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Non-compliance with any of these Terms will result in disqualification. This Sweepstakes is subject to all applicable federal, state, and local laws and regulations.

3. Sweepstakes Period

The Sweepstakes begins at 12:00 AM (Pacific Time) on March 6, 2025 and ends at 11:59 PM (Pacific Time) on March 31, 2025 (the “Sweepstakes Period”). Entries must be received during the Sweepstakes Period to be eligible. The Sponsor’s computer (or website server) is the official time-keeping device for this promotion.

4. How to Enter

No purchase is necessary to participate. To enter the Sweepstakes, complete both of the following steps during the Sweepstakes Period:

  1. Email List Signup: Visit the Sponsor’s website and sign up for the email mailing list by providing a valid email address and any other required information.

  2. Substack Subscription: Remain subscribed to the Sponsor’s Substack newsletter using the same email address (subscription is free; you may need to confirm your email to complete the subscription) through the Sweepstakes Period.

Once both steps are completed, you will receive one (1) entry into the Sweepstakes. Limit: One entry per person/email address for the entire Sweepstakes Period. Multiple entries by the same individual (for example, using alternate emails or identities) are not allowed and will be disqualified.

All entries become the property of the Sponsor and will not be acknowledged or returned. Any attempt to obtain more than the stated number of entries by using multiple identities, emails, or any other methods will void that entrant’s entries and may result in disqualification. Sponsor is not responsible for late, lost, misdirected, or incomplete entries or subscriptions, or any technical issues that might prevent an individual from completing the entry steps.

5. Prize

Prize (1): One winner will receive a $250 USD gift card to a top rated restaurant in the winner’s city, deemed the “best restaurant” in that city (specific restaurant to be determined by Sponsor in its sole discretion). The approximate retail value of the prize is $250.00.

The prize is non-transferable and no cash redemption or substitution is permitted, except that the Sponsor reserves the right to substitute a prize (or any portion of it) with another prize of equal or greater value if the advertised prize becomes unavailable for any reason. All federal, state, and local taxes on the prize, and any expenses related to acceptance or use of the prize not specified herein, are the sole responsibility of the winner.

Gift Card Conditions: The gift card prize is subject to the terms and conditions of the issuing restaurant. The Sponsor is not responsible if the gift card is lost, stolen, or damaged once delivered to the winner, or if the restaurant imposes any additional restrictions or fails to honor the card. No warranty or guarantee is given by Sponsor regarding the quality or suitability of the restaurant experience.

6. Winner Selection

On or about March 31, 2025, or within a reasonable time after the Sweepstakes Period ends, the Sponsor (or its designee) will conduct a random drawing from all eligible entries received to select one (1) potential winner. The odds of winning depend on the total number of eligible entries received.

All drawings will be conducted fairly and impartially. Sponsor’s decisions regarding the administration of the Sweepstakes and selection of the winner are final and binding.

7. Winner Notification and Prize Claim

The potential winner will be notified by the Sponsor via the email address provided at entry (the email used to sign up/subscribe) within approximately five (5) business days after the drawing. Sponsor may also at its discretion attempt a secondary contact method if available (such as an announcement or direct message, if applicable), but email will be the primary notification method.

The potential winner must respond to the notification and accept the prize within ten (10) business days of the date the notification email was sent. To claim the prize, the winner will be required to follow the instructions provided in the email (such as replying with confirmation and any additional information needed for prize delivery). The Sponsor may require the potential winner to sign and return an affidavit of eligibility, a liability/publicity release, and/or provide proof of age or identity as a condition of awarding the prize, as permitted by law.

Failure to Respond: If the potential winner does not respond to the email notification (or does not accept the prize) within ten (10) business days, or if the notification is returned as undeliverable, or if the potential winner is found to be ineligible or not in compliance with these Terms, then that person forfeits the prize. In the event of forfeiture or disqualification, at the Sponsor’s sole discretion an alternate winner may be selected by conducting another random drawing from the remaining eligible entries. The alternate winner (if one is selected) will be notified and shall be subject to the same winner confirmation and claim requirements under these Terms. This process will continue until the prize is awarded or no qualified entries remain.

The winner will receive the prize via delivery method arranged by the Sponsor (for example, an electronic gift card by email or a physical gift card by mail or in person). Allow reasonable time for coordination or delivery of the prize after winner verification.

8. Publicity Release

Except where prohibited by law, by accepting the prize the winner consents to the use of their name, city and state of residence, likeness, and/or prize information by the Sponsor for promotional, advertising, and publicity purposes in any media, worldwide, without further permission, payment, or consideration. The winner may be asked to provide a photograph or participate in reasonable promotional activities related to the Sweepstakes; however, this is not a condition of receiving the prize.

9. General Conditions

By participating in this Sweepstakes, entrants agree to abide by these Terms and by the decisions of the Sponsor, which are final and binding. Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes or website, attempting to cheat, engage in fraud, or violate these Terms, or acting in an unsportsmanlike or disruptive manner. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, and the Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law.

If for any reason the Sweepstakes is not capable of running as planned – whether due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, legal prohibition, force majeure (e.g., acts of God, natural disaster, war, terrorist activity, government order, epidemic), or any other cause beyond the control of Sponsor that corrupts or affects the administration, security, fairness, or proper conduct of the Sweepstakes – Sponsor reserves the right to cancel, terminate, modify, or suspend the Sweepstakes (in whole or in part). If the Sweepstakes is terminated or suspended before the intended end date, Sponsor may, at its discretion, select the winner in a fair and reasonable manner, such as from among all eligible, non-suspect entries received up to the time of cancellation or suspension (or through other means fair to entrants). Sponsor also reserves the right to extend or shorten the entry period or to otherwise modify these Terms, in its sole discretion, by posting an updated version on the website, if deemed necessary.

No failure by Sponsor to enforce any term of these Terms shall constitute a waiver of that provision. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, it shall be severed, and the remaining provisions shall remain in effect.

10. Release of Liability

By entering this Sweepstakes, each entrant agrees to release, discharge, indemnify, and hold harmless the Sponsor and its subsidiaries, affiliates, advertising/promotion agencies, partners, Substack (as it relates to the subscription platform), and all of their respective employees, officers, directors, and agents (collectively, the “Released Parties”) from and against any and all claims, liabilities, injuries, losses, or damages of any kind (including death or property damage) arising in whole or in part, directly or indirectly, from:

  • the entrant’s participation or attempt to participate in the Sweepstakes;

  • any technical or communications malfunctions, failures, or errors (including but not limited to lost, interrupted or unavailable internet connections, server or ISP issues, network congestion, technical failures of Substack or any website, miscommunications, failed computer hardware or software, or email failures) that may affect entry or notification;

  • any unauthorized intervention in the Sweepstakes or tampering with or manipulation of the entry process;

  • any errors in the administration of the Sweepstakes or the processing of entries;

  • force majeure events (such as events beyond Sponsor’s reasonable control that may cause disruption or cancellation of the Sweepstakes or delay in prize delivery); and

  • the acceptance, receipt, possession, use, misuse, or inability to use the prize (including any travel or activity related thereto).

The Released Parties are not responsible or liable for any injury or damage to any person’s computer or device related to or resulting from participating in this Sweepstakes or downloading materials from or using the Sponsor’s website. Entrants assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Sweepstakes, or the redemption, use, or misuse of any prize.

The winner agrees that the prize is provided “as is” and the Released Parties make no warranties or representations of any kind with respect to the prize. In no event shall the Released Parties be responsible for any warranty, costs, or damage arising out of or in connection with the use or misuse of the prize. By accepting the prize, the winner agrees that the Released Parties have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prize, including its quality, condition or fitness for a particular purpose.

11. Privacy and Data Collection

Privacy Policy: Any personal information collected from entrants (such as names and email addresses) is subject to Sponsor’s Privacy Policy and will be handled in accordance with applicable data protection laws. By entering the Sweepstakes, you understand and agree that the information you provide will be used by the Sponsor for purposes of administering the Sweepstakes (including winner notification and prize fulfillment). It may also be used to communicate with you for Sponsor’s marketing purposes, such as adding you to Sponsor’s email newsletter list and Substack mailing list, in accordance with Sponsor’s Privacy Policy. You may opt out of marketing communications at any time without affecting your entry or chances of winning.

The Sponsor will not sell or share your personal information with third parties for their own marketing purposes. However, the Sponsor may share information as necessary with third-party vendors to administer the Sweepstakes (for example, to an email service provider or the restaurant fulfilling the gift card) or as required by law. By entering, you consent to the collection, use, and sharing of your information in this manner. If you have any questions about how your information is used, please refer to the Privacy Policy available on the Sponsor’s website or contact the Sponsor directly.

12. Dispute Resolution and Governing Law

By participating in the Sweepstakes, each entrant agrees that any and all disputes, claims, or causes of action arising out of or relating to the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action. Governing Law: This Sweepstakes and these Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions.

Arbitration: Except where prohibited by law, entrants further agree that any dispute or claim arising out of or in connection with this Sweepstakes or these Terms (including their construction, validity, interpretation, and enforceability) shall be settled by binding arbitration. The arbitration shall be conducted in the State of Washington (or a nearby convenient location or via a virtual/telephonic forum), and administered by the American Arbitration Association (AAA) under its applicable rules. Entrants waive the right to trial by jury or to participate in a class action or class arbitration.

Judgment on any arbitration award may be entered in any court having jurisdiction. If any part of this dispute resolution clause is found to be invalid or unenforceable, the remainder shall still be enforceable to the fullest extent permitted by law. In any event, any disputes that are not subject to arbitration for any reason shall be brought exclusively in the state or federal courts located within the State of Washington, and entrants expressly consent to the jurisdiction of such courts and waive any objections to venue on grounds of inconvenience or otherwise.

Limitation of Liability in Disputes: To the extent permitted by applicable law, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages other than actual out-of-pocket expenses (if any) directly associated with entering this Sweepstakes. Entrant further waives any rights to have damages multiplied or increased.

13. Right to Modify or Terminate

Sponsor reserves the right to modify, suspend, or terminate this Sweepstakes or these Terms at any time, in its sole discretion, if it determines that fraud, technical failures, or any other factor beyond its reasonable control impairs the integrity or proper functioning of the Sweepstakes, or for any other reason. If the Sweepstakes is terminated before the planned end date, Sponsor may, in its discretion, conduct a random drawing to award the prize from all eligible, non-suspect entries received up to the time of cancellation. No notice is required for any such modification or termination, but Sponsor will make reasonable efforts to inform participants of major changes (e.g., by posting an announcement or updated Terms on the entry website).

Sponsor also reserves the right to update or clarify these Terms by posting an amended version on its website during the Sweepstakes Period. It is the entrant’s responsibility to review the Terms for any updates. Continued participation in the Sweepstakes after any modification of the Terms constitutes acceptance of the modified Terms.

14. Miscellaneous

Winner List: To obtain the name of the winner (available after the Sweepstakes concludes and winner is confirmed), you may send a self-addressed stamped envelope to the Sponsor at its business address (Attn: Sweepstakes Winner List) within 30 days after the end of the Sweepstakes Period.

This Terms & Conditions document constitutes the entire agreement governing this Sweepstakes and supersedes any prior communications or agreements regarding the promotion. In the event of any conflict between these Official Terms & Conditions and any Sweepstakes information provided elsewhere (including but not limited to advertising or promotional materials), these Official Terms & Conditions shall govern.
